AMD ROCm™ Certified Developer Program Agreement (v1.1)
Version 1.1 — Effective Date: July 2026
This AMD ROCm™ Certified Developer Program Agreement (the “Agreement” or “CDPA”) is a legally binding agreement between you (“you,” “Candidate,” or “Developer”) and Advanced Micro Devices, Inc, a corporation with a business address at 7171 Southwest Pkwy, M/S B100, Austin, TX 78735 (“AMD”). This Agreement governs your participation in the AMD ROCm™ Certified Developer Program (the “Program”), including registration, examinations and other assessments, credential issuance and maintenance, renewal, suspension or revocation, use of program designations and badges, and dispute resolution.
BY REGISTERING FOR, SCHEDULING, ACCESSING, OR TAKING ANY PROGRAM EVALUATION, OR BY USING ANY PROGRAM DESIGNATION OR BADGE, YOU AGREE TO BE BOUND BY THIS AGREEMENT AND ALL INCORPORATED PROGRAM POLICIES. IF YOU DO NOT AGREE, DO NOT PARTICIPATE IN THE PROGRAM.
1. DEFINITIONS
For purposes of this Agreement:
“Active” means that a Credential is current, not Expired, not Suspended, and not Revoked, as reflected in AMD’s official verification records.
“Agreement Materials” means this CDPA, the Program Policies, and the Credential‑Specific Appendices, as each may be updated pursuant to Section 18.
“Appeal” means a formal request for review submitted under the Appeals Policy.
“Assessment” means a performance‑ or task‑based evaluation, including lab‑based or practical exercises, whether proctored or not.
“Badge” means a digital credential artifact and associated metadata issued by or on behalf of AMD evidencing an earned Credential.
“Badge Provider” means any third party engaged by AMD to issue, host, display, or verify Badges.
“Candidate Code of Conduct” means the behavioral standards applicable to all Candidates, as set forth in the Program Policies.
“Confidential Information” means all non‑public Program information, including but not limited to Evaluation content (questions, tasks, item banks), scoring rubrics and keys, integrity methodologies, evaluation interfaces and workflows, and any non‑public materials provided in connection with the Program.
“Credential” means an AMD‑issued certification under this Program at one of the following levels: Associate, Professional, or Expert.
“Credential Term” means the uniform default validity period of twenty‑four (24) months from the date of Credential issuance, unless otherwise stated in applicable Credential‑Specific Requirements.
“Credential‑Specific Requirements” means the prerequisites, domains, Evaluation formats, passing standards, renewal requirements, and any Credential‑specific rules applicable to a Credential, as set forth in the applicable Appendix (and/or as posted on the Program Website).
“Designation” means the official title of a Credential (e.g., “AMD ROCm™ Certified Developer – Associate”), including any associated Badge, certificate, or verification record.
“Evaluation” means any examination, Assessment, interview, practical demonstration, or other validation mechanism designated by AMD for earning, renewing, reinstating, or validating a Credential.
“Expired” means a Credential that is no longer Active due to expiration of the Credential Term or failure to timely complete renewal requirements.
“Forensics” means statistical, analytical, and review techniques used to detect anomalies, misconduct, or compromise of Program integrity.
“Program Assets” means the Program and all related materials and content, including Evaluations and Evaluation content, study guides, training materials, sample questions, scoring methods, credentials, Designations, Badges, Program Websites/pages, Program communications, and any AMD-provided materials or benefits made available through the Program.
“Program Policies” means the policies incorporated by reference in Section 4 and published on the Program Website.
“Program Website” means AMD’s official web properties hosting Program information, policies, appendices, and updates.
“Proctoring” means monitoring, identity verification, environment validation, supervision, recording, or similar controls used to secure Evaluations.
“Renewal Window” means the default period beginning one hundred eighty (180) days prior to expiration of a Credential during which renewal may be completed.
“Revoked” means that AMD has permanently rescinded a Credential for cause.
“Suspended” means that AMD has temporarily disabled a Credential pending investigation, remediation, or other action.
“Testing Provider” means any third party engaged by AMD to deliver Evaluations, Proctoring, scoring, Forensics, or related services.
“AMD Marks” means AMD’s trademarks, service marks, logos, and Program branding, including “AMD” and “ROCm™.”
2. PROGRAM OVERVIEW; NO ENDORSEMENT
2.1 Purpose. The Program is designed to validate developer competencies related to AMD ROCm™ software, GPU‑accelerated computing, and associated AI and HPC workloads.
2.2 No Endorsement or Agency. Participation in the Program does not create any employment, agency, partnership, joint venture, or endorsement relationship between you and AMD. You may not represent or imply otherwise.
2.3 Non‑Exclusivity. Your participation in the Program is non‑exclusive. Nothing in this Agreement restricts you from developing for, using, supporting, or promoting non‑AMD technologies.
3. ELIGIBILITY; ACCOUNTS; NON‑TRANSFERABILITY
3.1 Eligibility. You represent that you are of legal age and have the legal capacity to enter into this Agreement.
3.2 Accounts. You must create and maintain an account as required for Program participation. You are responsible for maintaining accurate information and protecting your login credentials.
3.3 Non‑Transferability. Credentials, accounts, Evaluations, Designations, and Program benefits are personal and non‑transferable. You may not sell, share, sublicense, or assign them.
4. PROGRAM POLICIES (INCORPORATED BY REFERENCE)
The Program Policies are incorporated into and made part of this Agreement, including:

3. Integrity & Non‑Misconduct Policy
4. Identity Verification & Proctoring Policy
5. Forensics & Irregularities Policy
6. Investigations & Cooperation Policy
7. Appeals Policy
8. Accommodations Policy
9. Badge & Designation Usage Policy
10. Privacy & Data Handling Policy
AMD may update the Program Policies pursuant to Section 18.
5. CREDENTIAL LEVELS
The Program includes the following Credential levels:
Associate — Core AMD ROCm™ Software application development
Expert — Architecture‑aware AMD ROCm™ Software performance optimization and scale
Professional — Advanced AMD ROCm™ Software development and production readiness
Detailed descriptions and requirements for each Credential are set forth in the corresponding Credential‑Specific Appendices.
6. EVALUATIONS; FEES; SCHEDULING
6.1 Evaluations. AMD may require you to complete one or more Evaluations to earn or renew a Credential. Evaluations may include proctored and/or non‑proctored components.
6.2 Fees. Evaluation fees, if any, will be published on the Program Website. Fees are non‑refundable except as required by law or expressly stated in Program Policies.
6.3 Scheduling. Scheduling, cancellation, rescheduling, and no‑show rules for Evaluations are established by AMD or its Testing Providers.
7. CONFIDENTIALITY; PROGRAM ASSET RESTRICTIONS
7.1 Confidentiality of Evaluations and Program Assets. All Evaluation content and non‑public Program Assets are Confidential Information. You shall not disclose, reproduce, record, photograph, copy, publish, transmit, or otherwise share any Confidential Information, in whole or in part, by any means.
7.2 No Content Theft; No Reverse Engineering. You will not (a) obtain or attempt to obtain Evaluation content in advance; (b) participate in or use “brain dumps”; (c) reverse engineer scoring methods, item banks, or Evaluation logic; (d) circumvent security or Proctoring; or (e) assist any third party in any of the foregoing.
7.3 Use Restrictions. Except as expressly permitted by AMD in writing, you will not modify, translate, create derivative works from, distribute, publicly display, perform, sublicense, rent, lease, lend, sell, or otherwise exploit Program Assets.
7.4 Security Measures. You will comply with all technical and procedural measures designed to protect Evaluation security and Program integrity.
8. INTEGRITY; INVESTIGATIONS; SANCTIONS
8.1 Integrity Rules. You will comply with the Integrity & Non‑Misconduct Policy. Prohibited conduct includes impersonation, misrepresentation, unauthorized assistance, unauthorized collaboration, and use of generative AI tools during Evaluations unless expressly permitted.
8.2 Forensics; Investigations. AMD may use Forensics to identify anomalies and may investigate suspected violations. You must cooperate fully, provide requested information, and respond truthfully.
8.3 Sanctions. AMD may invalidate results, require retesting, suspend or revoke Credentials, remove directory listings, ban future participation, and pursue legal remedies for fraud or content theft.
9. VALIDITY; RENEWAL; RECERTIFICATION
9.1 Validity. Each Credential is valid for a uniform term of twenty‑four (24) months from issuance.
9.2 Renewal Window. The default Renewal Window opens one hundred eighty (180) days prior to Credential expiration.
9.3 Renewal Requirements. AMD may require renewal examinations, Assessments, continuing education, or other validation mechanisms, as specified in the applicable Credential‑Specific Appendix.
9.4 Future Renewal Model. AMD may revise or expand renewal and recertification requirements prospectively and will publish such changes in the Program Policies or Credential‑Specific Requirements.
10. USE OF CREDENTIALS; PUBLICITY; DIRECTORY
10.1 License to Use Designations and Badges. While your Credential is Active and subject to compliance with this Agreement, AMD grants you a limited, non‑exclusive, non‑transferable, revocable license to use the applicable Designation and Badge solely to truthfully represent Credential status.
10.2 Restrictions. You may not alter AMD Marks or Badges; imply AMD endorsement; use Designations/Badges after Expiration, Suspension, or Revocation; or use Designations/Badges in a misleading manner.
10.3 Publicity and Directory. AMD may (a) list your name and Credential status in a public or private credential directory; (b) verify your Credential status to third parties; and (c) with your consent where required by law, feature your Credential achievement in Program communications. You may opt out of public directory listing where AMD offers such an opt‑out mechanism, but AMD may still verify status.
10.4 Attribution. Where practicable in your use of AMD Marks or Badges, use the following attribution “AMD ROCm™ is a trademark of Advanced Micro Devices, Inc.”
11. OWNERSHIP; RESERVATION OF RIGHTS
11.1 Ownership. AMD (and/or its licensors) owns all right, title, and interest in and to the Program, Program Assets, Evaluations, Credentials, Designations, Badges, and AMD Marks.
11.2 Reservation of Rights. All rights not expressly granted to you are reserved by AMD.
12. FEEDBACK
If you provide AMD any feedback, suggestions, ideas, improvements, or recommendations regarding the Program (“Feedback”), you grant AMD a perpetual, irrevocable, worldwide, non‑exclusive, royalty‑free license to use, reproduce, modify, create derivative works of, distribute, display, perform, and otherwise exploit such Feedback for any purpose, without restriction or obligation to you.
13. REPRESENTATIONS; WARRANTIES; DISCLAIMERS
13.1 Your Representations. You represent and warrant that: (a) you have legal capacity to enter this Agreement; (b) all information you provide in connection with the Program is accurate and current; and (c) you will comply with applicable laws and the Program Policies.
13.2 AMD Disclaimer. EXCEPT AS EXPRESSLY STATED IN WRITING BY AMD, THE PROGRAM AND ALL PROGRAM ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AMD DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
14. INDEMNIFICATION
You will defend, indemnify, and hold harmless AMD, its affiliates, and their respective officers, directors, employees, and agents from and against any third‑party claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your breach of this Agreement or Program Policies; (b) your misuse of Program Assets, Credentials, Designations, Badges, or AMD Marks; (c) your violation of applicable law; or (d) your fraud, willful misconduct, or gross negligence.
15. LIMITATION OF LIABILITY
15.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO AMD FOR THE SPECIFIC EVALUATION GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
15.3 Essential Purpose. The limitations in this Section apply even if any limited remedy fails of its essential purpose.
16. TERM; TERMINATION; SURVIVAL
16.1 Term. This Agreement begins on the date you first register for or take a Program Evaluation or otherwise accept this Agreement (“Effective Date”) and continues until terminated.
16.2 Termination by You. You may stop participating at any time by ceasing all Program use and discontinuing use of any Designations/Badges.
16.3 Termination/Suspension by AMD. AMD may suspend or terminate your Program participation, Credential status, accounts, and licenses under this Agreement at any time: (a) for cause, including violation of this Agreement or Program Policies; or (b) to protect Program integrity or comply with law.
16.4 Effect of Termination. Upon termination or suspension, you must immediately stop using Program Assets, Designations, Badges, and AMD Marks, and cease any representations that you hold an Active Credential.
16.5 Survival. Sections intended by their nature to survive will survive termination, including Sections 7, 8, 10–15, 16.4, 17, and 18.
17. EXPORT COMPLIANCE
You agree to comply with all applicable export and sanctions laws and regulations, including U.S. export control laws. You will not access or use the Program, Program Assets, or any related technology in violation of such laws.
18. PROGRAM CHANGES; NOTICES; ORDER OF PRECEDENCE
18.1 Program Changes; Notice. AMD may modify the Program, Program Policies, Credential‑Specific Requirements, Evaluations, and any Program Assets from time to time. AMD will provide reasonable notice of material changes by posting on the Program Website and/or by sending notice to the email associated with your account, where practicable.
18.2 Applicability of Changes. Unless AMD states otherwise, changes apply prospectively. Changes will not retroactively invalidate an Active Credential already issued under a prior version, but may apply to renewals, future Evaluations, and continued participation after the effective date of the change.
18.3 Order of Precedence. In the event of conflict among Agreement Materials, the order of precedence is: (a) this CDPA; (b) Program Policies; (c) Credential‑Specific Requirements; and (d) other Program Website materials.
18.4 Notices. Notices under this Agreement may be provided electronically and will be deemed given when posted on the Program Website or when sent to the email address associated with your account.
19. GOVERNING LAW; DISPUTE RESOLUTION; MISCELLANEOUS
19.1 Governing Law. This Agreement is governed by the laws of the State of Texas.
19.2 Courts (Default). Unless AMD elects arbitration under Section 19.3, disputes shall be resolved exclusively in state or federal courts located in Travis County, Texas.
19.3 AMD‑Electable Arbitration. AMD may elect binding arbitration by notice. If elected, arbitration shall be seated in Travis County, Texas, with class action waiver to the extent permitted by law.
19.4 Entire Agreement. This Agreement and the incorporated Program Policies and Credential‑Specific Requirements constitute the entire agreement regarding the Program and supersede prior discussions.
19.5 Assignment. You may not assign this Agreement without AMD’s prior written consent. AMD may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets.
19.6 No Waiver. Failure to enforce any provision is not a waiver.
19.7 Severability. If any provision is unenforceable, the remainder will remain in effect.
PROGRAM POLICIES
1. Candidate Code of Conduct
Candidates must conduct themselves professionally at all times when participating in the Program. Disruptive behavior, harassment, attempts to interfere with evaluation integrity, or refusal to follow instructions may result in termination of an evaluation and sanctions.
2. Confidentiality & Exam Security
All Evaluations and related materials are confidential and protected by applicable intellectual property laws. Candidates may not disclose, reproduce, record, photograph, publish, transmit, or otherwise share any evaluation content or Confidential Information.
3. Integrity & Non‑Misconduct
Prohibited conduct includes cheating; impersonation; misrepresentation of identity, location, or eligibility; receiving or providing unauthorized assistance; unauthorized collaboration; use of unauthorized materials or devices; and use of generative AI tools or services unless expressly permitted.
4. Identity Verification & Proctoring
AMD may require identity verification using government‑issued identification and may implement remote or in‑person proctoring, environment scans, or other controls to maintain evaluation security.
5. Forensics & Irregularities
AMD may use statistical and analytical techniques to identify irregularities or anomalies in evaluation results and may invalidate results or require retesting where irregularities are detected.
6. Investigations & Cooperation
Candidates must cooperate fully with investigations, provide truthful information, and comply with requests for documentation or explanations. Failure to cooperate may itself be grounds for sanctions.
7. Appeals
AMD may provide a limited appeals process for administrative errors or sanctions determinations. Appeals must be submitted within the timeframe and in the manner specified by AMD. AMD’s determination is final to the extent permitted by law.
8. Accommodations
AMD provides reasonable accommodations for candidates with disabilities where required by law, subject to documentation and feasibility.
9. Badge & Designation Usage Policy
Program Designations and Badges may be used only while a Credential is Active and must not be altered or used in a misleading manner or to imply AMD endorsement.
10. Privacy & Data Handling
AMD processes personal data in accordance with its privacy policies and applicable law and may share data with testing, proctoring, analytics, and badge providers as necessary to operate and protect the Program.
Credential-Specific Appendices
Appendix A — AMD ROCm™ Certified Developer: Associate
Scope: Core AMD ROCm™ Software application development.
Competency Domains: Build and dependency management; HIP fundamentals; porting patterns; AMD ROCm libraries awareness; profiling and debugging fundamentals.
Evaluation Format: Knowledge‑based examination plus practical tasks, as designated by AMD.
Validity: 24 months from issuance.
Renewal Window: Begins 180 days prior to expiration.
Renewal: Renewal assessment and/or retesting as specified by AMD.
Appendix B — AMD ROCm™ Certified Developer: Professional
Scope: Advanced AMD ROCm™ Software development and production readiness.
Competency Domains: Advanced optimization; performance tuning; correctness validation; framework integration; production deployment considerations.
Evaluation Format: Knowledge‑based examination plus multi‑step hands‑on scenario, as designated by AMD.
Validity: 24 months from issuance.
Renewal Window: Begins 180 days prior to expiration.
Renewal: Renewal assessment and/or practical retest as specified by AMD.
Appendix C — AMD ROCm™ Certified Developer: Expert
Scope: Architecture‑aware AMD ROCm™ Software performance optimization and scale.
Competency Domains: Architecture‑aware tuning; system‑level profiling; multi‑GPU scaling; deep debugging; validation at scale.
Evaluation Format: Advanced examination plus capstone practical scenario and optional integrity interview, as designated by AMD.
Validity: 24 months from issuance.
Renewal Window: Begins 180 days prior to expiration.
Renewal: Renewal assessment and/or periodic capstone retest as specified by AMD.
